Transaction Details

The acquisition provides Pactiv Evergreen shareholders with $18 per share in cash, representing a 49% premium over the unaffected volume-weighted average trading price for the two months prior to December 2, 2024. Upon completion, Pactiv Evergreen will delist from Nasdaq and become a privately held company. The transaction has been approved by Pactiv Evergreen’s board of directors and majority shareholders. It is expected to close in mid-2025, pending regulatory approvals.

Impact of the Merger

The merger will combine the strengths of both companies in food, beverage, and specialty packaging, creating a more diversified and expansive packaging industry leader. The new entity will boast extensive production facilities and a robust distribution network across North America, serving clients ranging from large, well-known brands to small and medium-sized businesses.

With over 250 brands, the combined product portfolio will include a wide range of fiber and plastic packaging solutions, tailored to meet diverse customer needs. Novolex CEO Stan Bikulege will lead the newly formed company, while the future role of Pactiv Evergreen CEO Mike King remains undisclosed.

Strategic Significance

This acquisition represents a major step in Novolex's long-term growth strategy, aiming to establish itself as the most innovative, sustainable, and customer-focused company in the industry. The merged company plans to enhance product innovation, customer service, and sustainability initiatives by leveraging its North American manufacturing footprint and diverse materials, including fiber, resin, and recycled content.

Apollo Funds and an affiliate of the Canada Pension Plan Investment Board will contribute approximately $1 billion to support the acquisition of Pactiv Evergreen. Following the transaction, they will become significant minority shareholders in the new entity.

This merger signals new opportunities for the food and beverage packaging industry, further intensifying the trend of consolidation within the packaging sector.
